1. Acceptance of Terms
By accessing this website, booking services, or engaging Kalayvia Business Consulting (“Kalayvia,” “we,” “us,” or “Consultant”), you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, please do not use this website or book services.
2. Services Provided
Kalayvia Business Consulting provides professional consulting services, which may include but are not limited to:

Operations and systems development

Workflow optimization and documentation

Marketing, content, and growth guidance

Ongoing advisory or fractional support
Specific services, priorities, and deliverables are determined by the service selected at booking or as otherwise mutually agreed in writing.
3. Independent Contractor Relationship
Consultant operates as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between the Consultant and any client.
Clients may engage other consultants or service providers at their discretion.
4. Booking, Payment & Pricing
Base Rate
All services are billed at a standard rate of $40 USD / £30 GBP per hour, regardless of payment structure.
Payment Structures
Clients may choose one or more of the following billing methods, as agreed at booking:

Hourly billing

Monthly retainers (prepaid hours)

Commission-based arrangements tied to customer volume
Examples provided on the website are illustrative only. Final terms are confirmed at booking.
Payment Processing
Payments are processed through third-party platforms such as Square. Consultant does not store payment details.
All invoices must be paid in full prior to services being rendered unless otherwise agreed.
5. Commission-Based Services
For commission-based arrangements:

Commission is earned based on agreed metrics (e.g., per customer)

Commission accrues regardless of attendance where fees are charged

Refunds or chargebacks do not retroactively reduce earned commission unless explicitly agreed in writing
Commission terms are defined prior to service delivery.
6. Time, Availability & Communication
Unless otherwise agreed:

Services are capped at 20 hours per week

Consultant will make reasonable efforts to respond to communications within 48 hours

Communication may occur via email, booking platform, or other mutually agreed channels
Availability may be reduced during academic examination periods or circumstances beyond reasonable control, with reasonable notice provided.
7. No Guarantees
Consultant provides advisory and operational support services. No guarantees are made regarding revenue, growth, performance, or business outcomes.
Results depend on many factors outside Consultant's control.
8. Intellectual Property
Upon full payment:

Clients own final deliverables created specifically for them

Consultant retains ownership of all underlying templates, tools, methodologies, processes, and pre-existing materials
Consultant may reuse generalized knowledge, frameworks, and non-confidential learnings.
9. Confidentiality
Consultant agrees to treat client confidential information with reasonable care and not to disclose such information to third parties except as required to provide services or comply with legal obligations.
This obligation survives termination of services.
10. Termination
Either party may terminate services at any time with written notice.
All earned fees and commission accrued prior to termination remain payable.
11. Force Majeure
Consultant shall not be liable for delays or failures caused by circumstances beyond reasonable control, including but not limited to illness, technical failures, academic obligations, or acts of God.
12. Limitation of Liability
To the maximum extent permitted by law, Consultant shall not be liable for indirect, incidental, consequential, or special damages arising from use of the website or services.
Total liability shall not exceed the amount paid for services in the preceding thirty (30) days.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law principles.
14. Dispute Resolution
Any disputes arising under these Terms shall be resolved through binding arbitration, conducted remotely unless otherwise agreed. By agreeing to these Terms, you waive the right to bring claims in court, except where prohibited by law.
15. Changes to These Terms
Kalayvia reserves the right to update these Terms at any time. Changes will be posted on this page with an updated revision date.
Continued use of the website or services constitutes acceptance of the updated Terms.
